Terms of Service
Last Updated: February 3, 2026
These Terms of Service ("Terms") govern your access to and use of www.chicdevice.com (the "Site") and any wholesale purchase of products from ChicDevice ("ChicDevice", "we", "us"). By registering an account, submitting an order, or accepting any quotation, you ("Buyer", "you") agree to be bound by these Terms.
1. Wholesale Business Account
The Site is intended for business-to-business (B2B) buyers only, including retailers, distributors, e-commerce sellers, and corporate purchasers. By creating an account you represent that:
- You are at least 18 years old and authorized to act for your business entity;
- All registration information you provide is accurate and current;
- You will keep your account credentials confidential and responsible for activities under your account;
- You will promptly update account details upon any change.
We may request supporting documents (business license, tax identification, or resale certificate) to verify wholesale eligibility and reserve the right to approve, suspend, or decline any account at our discretion.
2. Orders, MOQ and Pricing
- Minimum Order Quantity (MOQ): each product or model may carry its own MOQ as stated on the product page or quotation. Orders below MOQ may be rejected.
- Tiered Pricing: unit prices decrease with quantity tiers shown on the Site or in written quotations. The price applicable is the tier matched by your confirmed order quantity.
- Quotation Validity: unless stated otherwise, written quotations are valid for 15 calendar days, subject to stock availability.
- Order Acceptance: an order becomes binding only when we confirm it in writing (order confirmation email or proforma invoice). We may refuse or cancel orders in cases of pricing errors, insufficient stock, or suspected fraud, with notice to you.
3. Payment Terms
Unless otherwise agreed in writing:
- New orders are prepaid via bank transfer (T/T) or PayPal; PayPal orders may carry a handling surcharge;
- Established wholesale customers may apply for partial-deposit terms (for example 30% deposit and 70% balance before shipment);
- Letters of Credit (L/C) may be accepted for large contracts above the threshold defined in your sales agreement;
- Title of goods passes to Buyer upon our receipt of full payment;
- We reserve ownership of all goods until fully paid, and you agree to hold purchased goods separable and identifiable during any retention period.
4. Production and Lead Time
Estimated lead times stated on order confirmations begin after payment clearance and artwork confirmation (if applicable). Lead times are good-faith estimates; delay caused by material shortage, customization backlog, holidays, or force majeure shall extend the schedule reasonably with prompt notice.
5. Shipment, Risk and Insurance
Delivery terms follow Incoterms 2020 as agreed on the proforma invoice (typically EXW, FOB, DAP or DDP). Risk of loss or damage passes according to the applicable Incoterm. Shipping methods, carriers, timelines, insurance, and customs responsibilities are further described in our Shipping Policy, which forms part of these Terms.
6. Quality Warranty and Defects
We warrant that at delivery products will materially conform to approved specifications and samples. Dead-on-arrival (DOA) units and manufacturing defects reported within the windows set out in our Refund & Return Policy will be remedied by repair, replacement, credit, or refund at our option. Normal wear, misuse, unauthorized modification, improper storage, or damage after transfer of risk are excluded.
7. Intellectual Property
- All Site content — including trademarks, logos, product images, descriptions, price lists, and page designs — is owned by ChicDevice or its licensors and protected by intellectual property laws;
- You receive a limited, revocable license to use product images and descriptions solely to market genuine ChicDevice products you lawfully purchased;
- You may not register domain names, marketplace stores, social accounts, or trademarks confusingly similar to ChicDevice;
- For OEM/ODM projects, you warrant that branding materials you supply do not infringe third-party rights, and you indemnify us against claims arising from your supplied designs.
8. Reseller Conduct
You agree not to: misrepresent agency or partnership with ChicDevice; sell defective or counterfeit goods under our name; make warranty commitments exceeding ours; or use our name in unlawful marketing. We may terminate accounts engaging in grey-market dumping that materially damages brand value, after written notice.
9. Confidentiality
Price lists, volume tiers, promotion calendars, and other non-public commercial information disclosed to you remain our confidential property. You will protect them with at least reasonable care and use them solely for reselling our products.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Site is provided "as is" without warranties beyond those expressly stated;
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data;
- Our total aggregate liability arising from any order shall not exceed the amount actually paid by Buyer for the products giving rise to the claim.
11. Indemnification
You will defend and indemnify ChicDevice against third-party claims arising from your resale conduct, marketing representations, supplied OEM designs, or breach of these Terms.
12. Termination
Either party may terminate the account relationship with 30 days' written notice. We may suspend or terminate immediately for material breach, non-payment, fraud, or legal risk. Provisions that should survive termination (payment obligations, confidentiality, IP, liability limits) will survive.
13. Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, epidemics, war, terrorism, labor disputes, government actions, port congestion, or widespread logistics disruption.
14. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction of our principal place of business, unless a signed sales agreement states otherwise. Disputes shall first be resolved through good-faith negotiation within 30 days; unresolved disputes shall be submitted to binding arbitration or the competent courts of that jurisdiction, in accordance with our published dispute procedure.
15. Amendments
We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last Updated" date. Continued placing of orders after changes take effect constitutes acceptance.
